INFORMATION SYSTEMS INTERNATIONAL INC CUSTOMER AGREEMENT
TERMS & CONDITIONS

INFORMATION SYSTEMS INTERNATIONAL charges up to $275.00 per hour for any consulting services. There is a four hour minimum charge for billable hours. Education may be quoted as a flat rate to include classroom, preparation and travel time. Clients that are customers or licensees of MAPICS, Inc may be billed for services by MAPICS, Inc under the MAPICS Certified Services Provider program. The specific terms of your MAPICS Services Agreement will apply in that case. Any other customer agreement with ISI supercedes this one. 

The time billed will be based on:
1) time spent by an ISI employee at the Customer location; and/or
2) time spent by an ISI employee at another location on projects authorized by the Customer.

Time will be measured in increments of 1/4 hour.

For some customers or situations ISI may charge for travel time, expenses and/or mileage.  Driving time and mileage will generally be measured as the round-trip travel time and distance from ISI offices in Rockford to the Customer location. If any overnight stays are required or other travel expenses are incurred, actual and reasonable expenses will be charged to you.

If direct connection to your systems from our locations to yours is determined to be the best way to work on a project, we may bill you an additional amount to cover our communications charges.

Generally, consulting, education and installation support time is considered billable. Marketing time is not billable. ISI reserves the right to determine which time is considered marketing time.

ISI does not warrant the quality of either IBM, MAPICS or other third-party products or licensed programs. Work we perform on your behalf to correct problems with IBM, MAPICS or other third-party products or programs will be billable to you and you agree to pay those charges.

Rates and conditions are subject to change. Specific quotations or estimates for services are in effect for 30 days from the date on the quotation or estimate.

Customer agrees to the following practices regarding current and former ISI employees:
1) Customer or Clients shall not hire into his employ any current ISI employee or former ISI employee who has been separated from ISI for less than a 6 month period.
2) Customer or Client shall not retain the services of any consultant or subcontractor who was formerly employed by ISI and who has been separated from ISI for less than a 6 month period.

TERMS ARE NET 10 DAYS. CUSTOMERS ACCEPTING ISI SERVICES AGREE TO THESE TERMS.
